These Terms and Conditions (“Terms”) govern your access to and use of the PocketAI platform, products, and services (“Services”) operated by Pocket AI (Pty) Ltd (“we”, “us”, “our”).
By accessing, registering for, or using any PocketAI Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
1. Definitions
- “Platform” means the PocketAI website, applications, APIs, dashboards, and related software.
- “SaaS Services” means PocketAI’s self-service, subscription-based AI tools.
- “Agency Services” means managed, bespoke, or consulting-based AI services delivered by PocketAI.
- “User” / “Client” means any individual or entity accessing or using the Services.
- “Content” means any data, text, prompts, files, or materials submitted to the Platform.
- “Output” means AI-generated responses, insights, or results produced using the Services.
2. Eligibility and Account Registration
2.1 You must be at least 18 years old and have legal capacity to enter into contracts.
2.2 You are responsible for:
2.2.1 Maintaining the confidentiality of your login credentials.
2.2.2 All activity occurring under your account.
2.2.3 Ensuring that information provided is accurate and up to date.
2.3 PocketAI may suspend or terminate accounts that violate these Terms or applicable laws.
3. Scope of Services
3.1 SaaS (Self-Service AI Platform)
PocketAI provides access to AI-powered tools that allow Users to:
3.1.1 Generate content, insights, automations, and analytics.
3.1.2 Integrate AI via APIs (where applicable).
3.1.3 Configure workflows and AI models based on available features.
Services are provided on a subscription or usage-based model unless otherwise stated.
3.2 Agency (Managed AI Services)
Agency Services may include:
3.2.1 Custom AI development.
3.2.2 AI strategy, consulting, and implementation.
3.2.3 Data analysis, automation, and integration projects.
Agency Services are governed by:
These Terms, and a separate written agreement, proposal, or servive level agreement (“SLA”) where applicable.
Where there is a conflict, the SOW will prevail.
4. Acceptable Use Policy
You agree not to use PocketAI to:
4.1 Violate any law or regulation.
4.2 Infringe intellectual property or privacy rights.
4.3 Generate or distribute unlawful, harmful, misleading, or deceptive content.
4.4 Attempt to reverse-engineer, copy, or exploit the Platform.
4.5 Upload malicious code or compromise system security.
4.6 Use AI outputs for illegal financial, medical, or legal advice without proper professional oversight.
PocketAI reserves the right to monitor usage and suspend access for violations.
5. AI Limitations and No Professional Advice
5.1 AI-generated outputs:
5.1.1 Are probabilistic and may be inaccurate or incomplete.
5.1.2 Should be independently reviewed before use.
5.1.3 Do not constitute legal, financial, medical, or professional advice.
5.2 You remain fully responsible for:
5.2.1 How Outputs are used.
5.2.2 Decisions made based on Outputs.
5.2.3 Compliance with laws and industry regulations.
6. Intellectual Property
6.1 PocketAI IP
All intellectual property relating to:
6.1.1 The Platform.
6.1.2 Models.
6.1.3 Software.
6.1.4 Branding.
6.1.5 Documentation.
remains the exclusive property of PocketAI or its licensors.
You receive a limited, non-exclusive, non-transferable license to use the Services during your subscription or engagement.
6.2 User Content and Output
6.2.1 You retain ownership of your input Content.
6.2.2 Subject to applicable law, you may use Outputs generated for your internal or commercial purposes.
6.2.3 PocketAI may use anonymized and aggregated data to improve its Services.
7. Data Protection and Privacy
7.1 PocketAI processes personal data in accordance with:
7.1.1 The Protection of Personal Information Act (POPIA) (South Africa).
7.1.2 The GDPR, where applicable.
7.1.3 Our Privacy Policy.
7.2 You confirm that you have lawful rights to upload any data processed through the Platform.
7.3 PocketAI is not responsible for personal data you unlawfully submit.
8. Fees, Billing, and Payments
8.1 SaaS Subscriptions
8.1.1 Fees are billed in advance on a recurring basis.
8.1.2 Subscription fees are non-refundable, unless required by law.
8.1.3 Failure to pay may result in suspension or termination.
8.2 Agency Services
8.2.1 Fees, milestones, and payment terms are defined in the applicable SOW.
8.2.2 Late payments may incur interest or service suspension.
All prices exclude VAT or applicable taxes unless stated otherwise.
9. Service Availability and Support
9.1 PocketAI aims for high availability but does not guarantee uninterrupted access.
9.2 Maintenance, upgrades, or outages may occur from time to time.
9.3 Support levels vary depending on your plan or Agency agreement.
10. Third-Party Services
PocketAI may integrate or rely on third-party platforms, APIs, or models.
10.1 PocketAI is not responsible for third-party services.
10.2 Your use of third-party services is subject to their terms.
11. Termination
11.1 You may cancel your subscription in accordance with your billing plan.
11.2 PocketAI may suspend or terminate access immediately if:
11.2.1 These Terms are breached.
11.2.2 There is unlawful or abusive usage.
11.2.3 Required by law or regulation.
11.3 Upon termination:
11.3.1 Access to the Platform ends.
11.3.2 Outstanding fees remain payable.
12. Limitation of Liability
To the maximum extent permitted by law:
12.1 PocketAI is not liable for indirect, incidental, or consequential damages.
12.2 Total liability is limited to the fees paid to PocketAI in the preceding 12 months.
12.3 PocketAI is not responsible for loss of profits, data, or business interruption.
13. Indemnity
You agree to indemnify and hold PocketAI harmless against claims, damages, or losses arising from:
13.1 Your misuse of the Services.
13.2 Violation of laws or third-party rights.
13.3 Content you submit or actions taken using Outputs.
14. Confidentiality
Both parties agree to keep confidential any non-public, proprietary, or sensitive information exchanged during use of the Services or Agency engagements.
15. Changes to Terms
PocketAI may update these Terms from time to time.
15.1 Material changes will be communicated via the Platform or email.
15.2 Continued use constitutes acceptance of updated Terms.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of South Africa. The parties submit to the exclusive jurisdiction of South African courts in Johannesburg, Gauteng.
